Welcome to aerohubtrixum. These Terms of Service ("Terms") govern your use of our website, spa client experience analytics platform, and related services (collectively, the "Services") provided by aerohubtrixum Ltd, a company registered in Malta with registration number C63852.

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you disagree with any part of these Terms, you may not access or use our Services. Your continued use of the Services constitutes acceptance of any modifications to these Terms.

Description of Services

aerohubtrixum provides spa client experience analytics systems designed for beauty and wellness establishments. Our Services include data analytics platforms, client experience tracking, treatment effectiveness analysis, operational insights, and related consulting services.

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice. We may also impose limits on certain features or restrict access to parts of the Services without notice or liability.

User Obligations

When using our Services, you agree to provide accurate, current, and complete information about yourself and your business. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree not to use our Services for any unlawful purpose or in any way that could damage, disable, overburden, or impair our systems. You may not attempt to gain unauthorised access to our Services, other user accounts, or computer systems connected to our Services.

You are responsible for ensuring that your use of our Services complies with all applicable laws and regulations, including data protection laws such as the General Data Protection Regulation (GDPR).

The aerohubtrixum platform, website, and all related content, features, and functionality are owned by aerohubtrixum Ltd and are protected by copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written consent.

We grant you a limited, non-exclusive, non-transferable licence to access and use our Services for your internal business purposes, subject to these Terms. This licence does not include any right to resell, distribute, or create derivative works based on our Services.

You retain all rights to the data you input into our Services. By using our Services, you grant us a licence to use this data solely for the purpose of providing our Services to you.

Payment Terms

Payment terms for our Services are specified in your service agreement or as communicated during the ordering process. Unless otherwise agreed, fees are payable in advance and are non-refundable.

We reserve the right to change our pricing at any time. Price changes will be communicated to existing clients with reasonable notice and will typically take effect at the next renewal period.

If payment is not received when due, we may suspend or terminate your access to the Services without notice. You remain responsible for all charges incurred before suspension or termination.

Limitation of Liability

To the maximum extent permitted by applicable law, aerohubtrixum Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our Services.

Our total liability to you for all claims arising from or related to these Terms or our Services shall not exceed the amount you have paid to us in the twelve months preceding the claim.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for consequential damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

Disclaimers

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that our Services will be uninterrupted, error-free, or completely secure. You acknowledge that internet-based services are inherently subject to limitations and delays beyond our control.

Indemnification

You agree to indemnify, defend, and hold harmless aerohubtrixum Ltd, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of our Services or violation of these Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Malta, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts of Malta, and you hereby consent to personal jurisdiction and venue therein.

For clients located in other EU member states, you may also have the right to bring proceedings in the courts of your own country in accordance with applicable EU regulations.

Dispute Resolution

We encourage you to contact us directly to resolve any disputes. If we cannot resolve a dispute through direct communication, we may agree to participate in mediation or other alternative dispute resolution procedures.

For consumer clients in the EU, you may also be entitled to use the European Commission's Online Dispute Resolution platform, which is available at ec.europa.eu/consumers/odr.

Termination

You may terminate your use of our Services at any time by providing written notice. We may terminate or suspend your access to our Services immediately, without prior notice, if you breach these Terms or for any other reason at our sole discretion.

Upon termination, your right to use our Services will cease immediately. We may delete your account and all associated data, though we may retain certain information as required by law or for legitimate business purposes.

Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, liability limitations, and governing law.

Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, or government actions.

Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Any invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

Entire Agreement

These Terms, together with our Privacy Policy and any service agreements, constitute the entire agreement between you and aerohubtrixum regarding the use of our Services and supersede all prior agreements and understandings.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our Services after such modifications constitutes acceptance of the updated Terms.
